We are currently seeking a Contracts Specialist to join our team. The Contracts Specialist position will develop and manage contracts within the Legal Department.  Will handle a wide variety of complex and confidential situations and is responsible for confidential and time sensitive material

 

REQUIRED KNOWLDEGE, SKILLS & EXPEREINCE:

         5+ years experience in a related field, prefer law firm or corporate in-house legal department

         Demonstrated computer skills with WORD, PowerPoint, Excel, Outlook, etc.

         Exemplary written and verbal communication skills

         Demonstrated skills with legal terminology and ability to draft contract language

         Demonstrated ability to prioritize and multitask in a fast-paced, dynamic environment.

         Must be detail oriented, with accurate input and proof reading skills

         Must be able to handle multiple tasks and the ability to organize and schedule work effectively

         Flexibility

         Strong sense of confidentiality and urgency

                            

DESIRED SKILLS AND EXPEREINCE:

         Experience directly supporting a Corporate Legal or internal Contracts Department

         Experience editing and “redlining” documents

         Experience finalizing documents and agreements to send to customers

         Experience negotiating customer and vendor agreements; including software and IT related agreements

         Experience with Spanish and/or Portuguese companies

 

ESSENTIAL DUTIES AND RESPONSIBILITIES

         Provides editing, execution, and follow-up of contracts as directed.

         Draft contract language as needed for specific situations

         Strong knowledge and ability to apply; Indemnification, Limitation of Liability and Warranties and such other public and state laws directly related to the management and administration of company services and products.

         Must possess strong working contracts terminology and be able to apply principles of contracting regarding terms and conditions to contract activities while exercising discretion and independent judgment.

         Teams with  counterparts  in sales, finance and operations department(s)  to assure approvals and obtain accurate information

         Assist in sales negotiations with customers involving contract details which are in accordance with the company’s policies and the best interest of the company and its customers

         Control documentation of all contract changes

         Review all requests for amendments or changes to contracts and prepare documentation including request for approvals

         Manages timely creation of appendices, addendums, master services agreements, including all applicable revisions

         Generate contracts from the  Contract Management System

         Generate  notice documentation regarding contracts for customers and vendors

         Research and respond to inquiries from the company regarding contractual issues

         Composes and prepares confidential correspondence, reports, and other complex documents as directed.

         Research legal issues and provide written report as requested

         Partner with the Sales, Sales Engineering and Sales Engagement teams in contract negotiation and creation.

         Ability to apply common sense understanding to carry out instructions furnished in written, oral or diagram form.

         Ability to exercise discretion and independent judgment in negotiating customer and vendor contracts

         Ability to deal with problems involving several concrete variables in standardized situations

         Ability to act as mediator on internal discussions regarding contracts

 

 

EDUCATION AND EXPERIENCE

Paralegal Certificate with five years of related experience and/or equivalent combination of education and experience

Employment requirements may include Background and Credit Check, Drug Testing and/or Skills Testing.
